Step 1: Name Search

Before you can register, you must ensure your desired business name is available.

  1. Complete Form PBC 1: This is the application for a name search. You should provide at least three unique name options.
  2. Submit and Pay: Submit the form at the Companies Registry Office and pay the name search fee (around $5 USD). You can find the current office locations on the official website for the Ministry of Justice, Legal and Parliamentary Affairs.
  3. Wait for Results: The search typically takes a few days. If one of your names is approved, you will be issued a confirmation letter (a C.R. 28). This name is reserved for a period of 30 days.

Step 2: Prepare the Incorporation Statement

Once your name is approved, you need to prepare the main registration document.

  • Complete Form PBC 2: This is the Incorporation Statement. It details:
    • The approved name of the PBC.
    • The physical and postal address of the business.
    • The full names, ID numbers, and addresses of all members (owners).
    • The percentage interest (ownership stake) of each member.
    • The name of the appointed accounting officer.
